Terms & Conditions

Effective Date: 1 January 2025

These Terms & Conditions (“Terms”) govern access to and use of www.kelenate.in (“Site”) and purchases made through the Site.

The Site is operated under the brand Kelenate by:

In these Terms, “Kelenate”, “we”, “us” and “our” refer to M/s North West operating under the Kelenate brand. “You”, “your”, “customer” and “user” refer to a person accessing the Site or placing an order.

These Terms should be read together with our Privacy Policy, Shipping & Delivery Policy and Cancellation, Return, Replacement & Refund Policy.

1. Acceptance of These Terms

By accessing or using the Site, creating an account, placing an order or otherwise using our services, you agree to these Terms and the policies incorporated into them.

If you do not agree with these Terms, please do not use the Site or place an order.

Nothing in these Terms excludes, restricts or waives any consumer right or remedy that cannot lawfully be excluded or restricted.

2. Eligibility

You should be at least 18 years of age and legally capable of entering into a contract to independently place an order through the Site.

A person under 18 should use the Site only with appropriate involvement and supervision of a parent or lawful guardian.

By placing an order, you represent that the information you provide is accurate and that you have authority to use the selected payment method and delivery details.

3. Customer Accounts

Certain Site features may allow or require a customer account.

You are responsible for:

  • providing accurate and current account information;

  • maintaining the confidentiality of login or authentication credentials;

  • taking reasonable steps to prevent unauthorised access; and

  • notifying us promptly if you reasonably suspect unauthorised use of your account.

You should never share your OTP, UPI PIN, card CVV, ATM PIN or banking password with Kelenate Customer Support.

We may restrict, suspend or disable an account where reasonably necessary because of fraud, misuse, security concerns, unlawful activity or serious violation of these Terms.

4. Product Information

We aim to provide clear and accurate product information, including descriptions, images, specifications, quantities, sizes, colours, compatibility information and prices where applicable.

However:

  • screen colours may vary depending on the customer's device;

  • product packaging may change;

  • minor manufacturing variations may occur;

  • photographs may include props or contextual items not supplied with the product; and

  • dimensions or measurements may be subject to reasonable manufacturing tolerances unless expressly stated otherwise.

The description and included-contents information on the relevant product page should be reviewed before purchase.

If a product received is materially different from what was ordered or advertised, our Cancellation, Return, Replacement & Refund Policy will apply together with applicable consumer rights.

5. Vehicle Names, Trademarks & Compatibility References

Some products may be described using names, models, logos, vehicle types or other identifying information belonging to vehicle manufacturers or other third parties.

Unless expressly stated otherwise, such references may be used only to describe compatibility, intended application, style or identification of the relevant product.

A reference to a third-party brand does not by itself mean that Kelenate is sponsored by, authorised by, affiliated with or endorsed by that brand.

All third-party trademarks and brand names remain the property of their respective owners.

6. Product Compatibility & Installation

Where a product is designed for a particular vehicle, surface, size or application, customers should check the product description and compatibility information before purchase.

Compatibility may depend on factors such as:

  • vehicle model;

  • model year;

  • variant;

  • dimensions;

  • surface type;

  • installation position; and

  • modifications already made to the vehicle or product.

For adhesive products, stickers, protectors, emblems and similar accessories, the application surface should generally be clean, dry and suitable for the relevant adhesive.

Incorrect installation, use on an unsuitable surface, improper preparation or modification of the product after delivery may affect performance and return eligibility where permitted by law.

Nothing in this section affects remedies for a product that was defective, incorrect or materially misdescribed when supplied.

7. Order Placement

Products displayed on the Site may be subject to availability and acceptance of the order.

After an order is submitted, the Site or our systems may generate an order confirmation acknowledging receipt of the order.

An automated acknowledgment does not necessarily mean that every item has completed final fulfilment verification.

We may verify matters such as:

  • payment status;

  • stock availability;

  • delivery serviceability;

  • product information;

  • pricing errors;

  • quantity;

  • fraud or security concerns; and

  • other genuine fulfilment requirements.

If we cannot fulfil an accepted prepaid order, the applicable amount will be refunded in accordance with our policies and applicable law.

8. Availability

Product availability may change without prior notice.

An item shown as available may occasionally become unavailable because of:

  • simultaneous orders;

  • inventory mismatch;

  • damaged inventory;

  • supplier or production issues;

  • listing errors; or

  • another genuine operational issue.

Where we cannot fulfil an affected order, we will provide an appropriate resolution, which may include cancellation and refund.

9. Prices

Unless stated otherwise, prices displayed on the Site are in Indian Rupees (INR).

The final amount payable will be shown before completion of the order and may include, where applicable:

  • product price;

  • GST or other applicable tax;

  • shipping or delivery charges;

  • Cash on Delivery charges;

  • expedited-delivery charges; and

  • other charges expressly disclosed before purchase.

We will not intentionally add an undisclosed compulsory charge after an order has been placed.

10. MRP, Discounts & Promotional Pricing

Where an MRP, compare-at price, discount or promotional price is displayed, the information is intended to help customers understand the relevant offer.

Promotions may:

  • apply only to selected products;

  • require a minimum order value;

  • have a limited validity period;

  • be subject to stock availability; or

  • contain additional conditions disclosed with the offer.

Two promotional codes or offers may not necessarily be combined unless expressly permitted.

We may correct genuine typographical, technical or pricing errors.

11. Pricing or Listing Errors

Despite reasonable precautions, a product may occasionally be listed with an incorrect price, description, discount, image, specification or availability status.

Where an obvious or material error is identified before fulfilment, we may contact the customer, correct the information or cancel the affected order where reasonably necessary.

If a prepaid order is cancelled by Kelenate because of such an error, the applicable amount paid for the cancelled item or order will be refunded.

Nothing in this section permits misleading pricing or an unfair trade practice.

12. Taxes & Invoices

Applicable taxes will be dealt with in accordance with Indian law.

A tax invoice or other invoice will be issued or made available where applicable.

Customers requiring particular invoice information should ensure that the relevant billing details are accurately provided when placing the order.

13. Payment

Payment methods available to a customer are those displayed at checkout at the relevant time.

Depending on availability, these may include methods such as:

  • UPI;

  • credit or debit cards;

  • net banking;

  • wallets;

  • supported payment-gateway methods; and

  • Cash on Delivery for eligible orders.

Payments may be processed by third-party payment service providers and financial institutions.

Kelenate does not require customers to provide OTPs, UPI PINs or card CVVs to Customer Support.

A payment may fail, remain pending or require verification because of the customer's bank, payment service provider, network, security checks or another technical reason.

An order should not be treated as successfully prepaid merely because money appears temporarily debited if the transaction has not been successfully confirmed.

14. Cash on Delivery

Cash on Delivery may be available only for eligible:

  • products;

  • order values;

  • customers; and

  • delivery PIN codes.

Any applicable COD charge will be shown before order completion.

We may restrict COD where reasonably required because of repeated refused deliveries, fraud risk, serviceability or other legitimate operational concerns.

15. Customer Cancellation

Cancellation rights and procedures are governed primarily by our Cancellation, Return, Replacement & Refund Policy.

For standard products, a cancellation request made before dispatch will generally be processed where fulfilment can still reasonably be stopped.

Once an order has been dispatched, stopping delivery may not always be technically possible.

Customised, personalised or made-to-order products may have different cancellation conditions after production begins.

Any cancellation charge, if ever applicable, must be disclosed and will be subject to applicable law.

16. Cancellation by Kelenate

We may cancel an order where fulfilment is genuinely not possible or appropriate, including because of:

  • stock unavailability;

  • non-serviceable delivery location;

  • payment failure;

  • material pricing or listing error;

  • suspected fraud;

  • misuse;

  • legal restrictions; or

  • another genuine operational reason.

Where Kelenate unilaterally cancels a prepaid order, the applicable amount paid for the cancelled order will be refunded.

We will not impose a cancellation charge on a customer merely because Kelenate cancelled the order.

17. Shipping & Delivery

Shipping and delivery are governed by our Shipping & Delivery Policy.

Typical delivery timelines, tracking, delivery attempts, Return-to-Origin handling, serviceability, shipping charges and delivery-related issues are explained in that Policy.

Delivery dates are estimates unless expressly represented as guaranteed.

Customers are responsible for supplying accurate delivery and contact information.

18. Returns, Replacements & Refunds

Returns, replacements and refunds are governed by our Cancellation, Return, Replacement & Refund Policy.

Most eligible standard products may be requested for return or replacement within the stated policy window, subject to the applicable conditions.

Different rules may apply to:

  • defective products;

  • damaged products;

  • incorrect products;

  • materially misdescribed products;

  • used or installed products;

  • customised or personalised products; and

  • voluntary change-of-mind returns.

Nothing in these Terms overrides a mandatory consumer remedy available under applicable law.

19. Customised, Personalised & Made-to-Order Products

Certain products may be manufactured, printed, cut, configured or prepared according to customer-specific instructions.

Customers are responsible for carefully reviewing any supplied or approved:

  • spelling;

  • wording;

  • design;

  • dimensions;

  • colour selection;

  • quantity;

  • placement;

  • vehicle information; and

  • other custom specification.

After the customer approves a custom proof or specification and production begins, cancellation or change-of-mind return may not ordinarily be possible.

This does not exclude an appropriate remedy where the product supplied is defective, damaged or materially different from the specification approved by the customer.

20. Business & Bulk Orders

Bulk, wholesale, customised, institutional or business orders may be subject to a separate quotation, pro-forma invoice, written specification, proof approval, payment schedule, production timeline or other agreed commercial term.

Where a separate written term for a business or custom order directly conflicts with these general Terms, the specifically agreed written term will govern that particular commercial point, subject to applicable law.

Consumer rights applicable to a particular transaction are not waived merely by labelling an order “bulk” or “business”.

21. Promotions & Offers

Promotional offers may contain separate conditions relating to:

  • validity;

  • eligible products;

  • minimum purchase;

  • maximum benefit;

  • customer eligibility;

  • coupon usage; and

  • exclusions.

We may withdraw or correct a promotion where there is a genuine error, fraud, misuse or legal requirement.

An offer cannot be used through manipulation, automated abuse, duplicate-account abuse or other fraudulent conduct.

22. Reviews, Feedback & Other User Content

If the Site permits reviews, photographs, comments or other customer-submitted content, you should submit only content you are legally entitled to provide.

Content must not be:

  • unlawful;

  • fraudulent;

  • knowingly false;

  • defamatory;

  • threatening;

  • obscene;

  • infringing;

  • malicious; or

  • designed to manipulate reviews or ratings.

We may moderate or remove content where reasonably necessary for legal, security, authenticity or platform-integrity reasons.

We will not knowingly fabricate customer reviews or represent Kelenate-generated endorsements as independent customer reviews.

23. Acceptable Use of the Site

You must not:

  • use the Site for unlawful or fraudulent purposes;

  • attempt unauthorised access to accounts, systems or data;

  • interfere with Site operation;

  • introduce malware or malicious code;

  • scrape or harvest information in violation of applicable law;

  • impersonate another person;

  • misuse payment systems;

  • submit fraudulent return or refund claims; or

  • use the Site in a manner intended to damage Kelenate, customers or third parties.

Reasonable security testing or activity expressly authorised by us is excluded from this prohibition.

24. Intellectual Property

Unless otherwise indicated, the Kelenate name, Site design, original text, graphics, layouts, photographs and other Kelenate-created content are owned by or lawfully used by Kelenate.

Nothing in these Terms transfers ownership of such intellectual property to the user.

You may use the Site for ordinary personal or legitimate purchasing purposes.

You must not reproduce or commercially exploit Kelenate-owned content without permission except where permitted by law.

Third-party names, trademarks, logos, images and other intellectual property belong to their respective owners.

25. Third-Party Services & Links

The Site may interact with third-party services such as:

  • Shopify;

  • payment providers;

  • financial institutions;

  • courier and logistics providers;

  • authentication services; and

  • other operational technology providers.

The Site may also contain links to third-party websites.

Kelenate does not control an independent third-party website and is not responsible for its separate terms, privacy practices or content.

However, the use of a third-party provider does not remove responsibilities that Kelenate itself has under applicable law.

26. Manufacturer or Supplier Warranties

Certain products may carry a separate manufacturer or supplier warranty.

Where applicable, details of that warranty may be provided with the product or product listing.

A manufacturer's or supplier's warranty is additional to, and does not eliminate, consumer rights or remedies that cannot lawfully be excluded.

27. No Unauthorised Professional or Safety Representation

Product information is provided for ordinary commercial and informational purposes.

Unless expressly stated, a product listing should not be interpreted as professional automotive, engineering, medical, electrical or safety advice.

Customers should use appropriate professional assistance where installation or use reasonably requires specialist skill.

This clause does not excuse Kelenate from responsibility for representations we expressly make about a product or from liabilities that cannot legally be excluded.

28. Disclaimer of Website Availability

We aim to keep the Site operational and information reasonably accurate.

However, internet services may occasionally be affected by:

  • maintenance;

  • hosting interruption;

  • third-party service failure;

  • network outage;

  • software error;

  • cyber incident; or

  • circumstances outside our reasonable control.

We do not guarantee that the Site will be continuously available without interruption.

Nothing in this section excludes liability or remedies that cannot lawfully be excluded.

29. Limitation of Liability

To the maximum extent permitted by applicable law, Kelenate will not be liable for indirect, incidental or consequential loss that was not reasonably foreseeable and did not arise from a breach or legal responsibility attributable to Kelenate.

However, nothing in these Terms excludes or limits liability or consumer rights where exclusion or limitation is prohibited by law, including any liability that must be determined under applicable consumer-protection or product-liability law.

No provision of these Terms should be interpreted as automatically limiting every valid consumer claim to the purchase price of the relevant product.

30. Customer Responsibility for Loss

A customer may be responsible for loss directly caused by the customer's:

  • fraud;

  • deliberate misuse;

  • unlawful conduct;

  • knowing violation of another person's rights; or

  • material breach of these Terms.

Any claim by Kelenate will remain subject to applicable law and proof of the relevant loss.

This clause does not require a consumer to indemnify Kelenate merely for exercising a lawful consumer right, filing a legitimate complaint or making a bona fide return or refund request.

31. Fraud & Abuse

We may investigate suspicious transactions, accounts, deliveries, returns, refunds or promotional activity.

Where reasonably justified, we may:

  • request additional verification;

  • restrict an account;

  • cancel a fraudulent transaction;

  • decline an abusive claim;

  • preserve relevant records; or

  • report suspected unlawful activity to the appropriate authority.

Legitimate customer complaints, returns and grievances will not be treated as abuse merely because a customer asserts their rights.

32. Force Majeure & Events Outside Reasonable Control

Performance may be delayed by circumstances outside reasonable control, including severe weather, natural disaster, fire, flood, epidemic, government restriction, strike, transport disruption, widespread network failure or similar event.

We will take reasonable steps to manage the effect of such events.

Where applicable law gives a customer a cancellation, refund or other remedy despite such an event, that legal right will continue to apply.

33. Privacy

Personal information is handled in accordance with our Privacy Policy and applicable law.

The Privacy Policy explains categories of information processed, purposes, sharing, security, retention, customer requests and privacy/grievance contact information.

34. Electronic Communications & Records

You agree that ordinary communications concerning your Site use or orders may be provided electronically where appropriate, including through:

  • email;

  • SMS;

  • Site notifications;

  • order-status pages; or

  • other contact channels supplied by you.

Orders, confirmations, invoices, policies, notices and other records may be generated, communicated and retained electronically as permitted by applicable law.

35. Changes to the Site

We may change, improve, suspend or discontinue Site features where reasonably necessary.

Such changes do not remove contractual obligations already applicable to an accepted order or rights that have already arisen under applicable law.

36. Changes to These Terms

We may revise these Terms because of:

  • changes to the Site;

  • operational requirements;

  • new products or services;

  • security requirements; or

  • changes in applicable law.

The current version will be published on the Site.

A material change will not retrospectively remove a mandatory consumer right that already arose in relation to an earlier transaction.

37. Severability

If a provision of these Terms is found unlawful, invalid or unenforceable, it will be interpreted or restricted to the minimum extent reasonably necessary, where permitted.

The remaining provisions will continue to operate to the extent legally possible.

38. No Waiver

If Kelenate does not immediately enforce a contractual right in a particular situation, that does not necessarily mean that the right is permanently waived.

Similarly, nothing in these Terms prevents a customer from exercising a right available under applicable law.

39. Governing Law & Dispute Resolution

These Terms are governed by the laws of India.

We encourage customers to first contact Customer Support or the Grievance Officer so that an issue may be resolved promptly.

Nothing in these Terms restricts a consumer's right to approach a Consumer Commission, court, authority or other forum having jurisdiction under applicable law.

Subject to such mandatory statutory jurisdiction and consumer rights, disputes for which the parties may lawfully agree territorial jurisdiction will be subject to the competent courts at Delhi, India.

42. Relationship With Other Policies

These Terms should be read together with:

  • Shipping & Delivery Policy

  • Cancellation, Return, Replacement & Refund Policy

  • Grievance Redressal information

If these Terms conflict with a mandatory requirement of applicable law, the mandatory legal requirement will prevail.
